Termination

5. AI Chatbot Terms

Usage

Our chatbot assists with inquiries. Note:

Limitations

• No legal/financial/medical advice
• May not understand complex queries
• Can't make binding commitments
• Subject to availability/downtime

Conduct

Do NOT:

• Use offensive language
• Attempt to manipulate AI
• Share sensitive info unnecessarily
• Spam messages

6. Service Agreements

Engagement

Professional services require separate agreements. These Terms supplement service contracts.

Project Scope

Projects defined by scope documents outlining:

• Deliverables & timelines
• Milestones
• Payment terms
• Client responsibilities
• Revision policies

Client Responsibilities

• Provide timely feedback
• Respond within timeframes
• Make timely payments
• Provide accurate info

7. Fees & Payment

Service Fees

Fees specified in service agreements (USD or EGP).

Payment Terms

• Pay per agreed schedule
• Late payments incur fees
• We may suspend for non-payment
• Prices exclude taxes unless stated

Refunds

Refund policies in service agreements. Generally no refunds for completed work.

8. Intellectual Property

Our IP

All content, logos, designs, code, trademarks owned by Doublybusiness or licensors.

Client IP

Upon full payment, clients own deliverables per service agreement. We retain rights to reusable components.

License

We grant limited license to use our Services. No transfer of ownership.

9. Warranties & Disclaimers

Service Warranty

We provide services with reasonable skill and care.

Disclaimer

Services provided "AS IS". We don't guarantee:

• Uninterrupted/error-free service

10. Limitation of Liability

To maximum extent permitted by law, Doublybusiness not liable for:

• Indirect/consequential damages
• Lost profits/revenue
• Data loss
• Business interruption

Total liability limited to fees paid in last 12 months.

11. Indemnification

You indemnify Doublybusiness from claims arising from your use of Services, violation of Terms, or infringement of third-party rights.

12. Termination

By You

Stop using Services anytime. Active contracts subject to agreement terms.

By Us

We may terminate for Terms violations, non-payment, or at our discretion with notice.

Effect

Upon termination: access ends, outstanding fees due, applicable sections survive.

13. Changes to Terms

We may update these Terms. Changes effective when posted. Continued use = acceptance. We'll notify of material changes.

14. Governing Law

These Terms governed by laws of Egypt. Disputes resolved in Cairo courts.

15. Dispute Resolution

Negotiation

First attempt good faith negotiation (30 days).

Arbitration

If negotiation fails, binding arbitration in Cairo.

Exceptions

Either party may seek injunctive relief in court for IP violations.

16. General Provisions

• Entire Agreement: These Terms + service agreements = complete agreement
• Severability: Invalid provisions don't affect others
• Waiver: No waiver unless written
• Assignment: Can't assign without our consent
• Force Majeure: Not liable for events beyond control
